Creative Agreement

Effective Date: December 21, 2025

This Creative Agreement (“Agreement”) governs your use of the theme creation, upload, sharing, and redemption-code features (the “Creative Features”) provided through the application and related services operated by us (the “Company,” “we,” “us,” or “our”). By using any Creative Features, you agree to this Agreement.

If you do not agree, do not use the Creative Features.

  1. Scope and Acceptance

This Agreement applies globally to all users who upload materials, create custom themes, generate redemption codes, share codes, redeem codes, download themes, or otherwise use the Creative Features.

The Creative Features may be offered for free. You understand that free access does not reduce your responsibilities for the content you upload or distribute.

  1. Definitions

“Content” means any material you upload, import, create, or provide through the Creative Features, including images, icons, stickers, templates, fonts, audio, video, text, color palettes, UI assets, packs, and metadata.

“Theme” means any theme/skin/template or similar output you create using the Creative Features, whether for personal use or sharing.

“Redemption Code” means a code, link, token, or other mechanism you generate to allow others to redeem and download a Theme.

“Redeemer” means a user who redeems a Redemption Code and downloads a Theme.

“Third-Party Rights” include copyrights, trademarks, patents, design rights, database rights, trade secrets, rights of publicity, portrait rights, privacy rights, personality rights, and any other intellectual property or proprietary rights.

  1. Eligibility

You represent that you are legally permitted to use the Creative Features under applicable law. If you are under the age of majority where you live, you may use the Creative Features only with consent and supervision of a parent or legal guardian, and your guardian is responsible for your use.

  1. Your Responsibilities and Warranties

You are solely responsible for all Content you upload and all Themes and Redemption Codes you create or distribute. You represent and warrant that:

You own all necessary rights to your Content and Themes, or you have obtained valid, documented permissions and licenses that allow you to upload, host, use, and distribute them as described in this Agreement, including distribution to Redeemers.

Your Content and Themes do not infringe or misappropriate any Third-Party Rights.

Your Content and Themes comply with all applicable laws and regulations, including those related to content legality, intellectual property, privacy, publicity rights, and data protection.

If your Content includes any identifiable person (image, likeness, voice), private information, or third-party brand elements, you have obtained all necessary consents and authorizations for the uses permitted by this Agreement.

You will not upload or distribute any Content you are not authorized to disclose (including confidential or trade secret materials, or content subject to non-disclosure obligations).

Free distribution does not excuse infringement or illegality. You remain fully responsible.

  1. Prohibited Content

You may not upload, create, share, distribute, redeem, or make available any Content or Theme that:

Is illegal, promotes illegal activity, or is otherwise prohibited by applicable law.

Infringes or violates Third-Party Rights, including unlicensed fonts, images, icons, audio, video, templates, or brand assets.

Violates privacy or personality rights, including unauthorized portraits, recordings, or personal data.

Is abusive, harassing, defamatory, hateful, or discriminatory.

Contains malware, malicious code, phishing, harmful links, or attempts to bypass moderation, security, or platform safeguards.

Is used to facilitate fraud, spam, deception, or abusive mass distribution of Redemption Codes.

We reasonably determine may create legal risk, user harm, or platform integrity risk.

  1. Moderation and Enforcement

We do not have an obligation to pre-screen Content, but we may use automated and/or manual review, risk detection, and spot checks.

If we believe Content, a Theme, or a Redemption Code may violate this Agreement or applicable law (or we receive a complaint), we may take action without notice, including removing or restricting Content, disabling Redemption Codes, limiting distribution, restricting accounts, suspending or terminating access, and preserving records.

Our actions do not constitute a legal determination of rights or liability and do not relieve you of responsibility.

  1. License You Grant to Us

You retain ownership of your Content and Themes, subject to the licenses below.

To operate the Creative Features, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, back up, reproduce, process, reformat, transmit, display (for previews and user interfaces), and distribute your Content and Themes solely as necessary to:

provide and maintain the Creative Features,

deliver Themes to Redeemers you designate via Redemption Codes,

perform safety, security, compliance, and content review,

enforce this Agreement and respond to legal requests.

  1. Redemption Codes and Free Distribution

Redemption Codes are a free sharing mechanism. We do not charge Redeemers a redemption fee for Redemption Codes.

We do not pay you any revenue, royalty, or share for distributing Themes via Redemption Codes, and you may not represent that your Theme is sold or officially endorsed by us.

We may change, limit, or discontinue Redemption Codes at any time for compliance, safety, technical, or operational reasons, including setting or adjusting usage limits, expiry, availability by region, or feature access.

If a Theme or Content is removed or restricted due to complaints or risk signals, we may disable associated Redemption Codes. Any disputes or claims by Redeemers arising from your Content are your responsibility.

  1. License to Redeemers

Unless you provide additional license terms that do not conflict with this Agreement, each Redeemer receives a limited, personal, non-exclusive, non-transferable, non-sublicensable license to use the redeemed Theme only within the app and supported devices for personal use.

Redeemers may not extract, repackage, resell, redistribute, publicly post, or otherwise make the Theme or underlying assets available outside the app, except as permitted by applicable law.

  1. Notice and Takedown

We may provide a mechanism for rights holders or others to submit notices of alleged infringement or illegality.

Upon receiving a notice we consider credible, we may remove or restrict access to the reported Content or Theme, disable related Redemption Codes, and notify you where appropriate.

You consent to our sharing necessary information with complainants or authorities as required to process claims and comply with law, which may include forwarding your response or relevant account identifiers.

  1. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its affiliates, directors, officers, employees, contractors, and partners from and against any claims, demands, investigations, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

your Content, Themes, or Redemption Codes,

your distribution or sharing of Themes,

alleged infringement or violation of Third-Party Rights,

alleged violation of law, privacy, or publicity rights,

your breach of this Agreement.

You agree to provide reasonable cooperation, including documentation of rights and licenses, upon request.

  1. Disclaimers and Limitation of Liability

The Creative Features are provided “as is” and “as available.” We do not guarantee that Content will be lawful, non-infringing, or available for redemption or download at any time.

Because Redemption Codes are provided for free and we provide no consideration for your sharing activity, you agree that, to the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to the Creative Features.

We are not responsible for disputes between you and Redeemers, or between you and third parties, arising from your Content, Themes, or sharing activities.

Nothing in this Agreement limits liability to the extent it cannot be limited under applicable law.

  1. Termination

We may suspend or terminate your access to the Creative Features at any time if we believe you violated this Agreement, if we must do so to comply with law, or to protect the platform or users. Upon termination, we may remove or restrict access to Content and disable Redemption Codes, subject to legal obligations.

Sections that by their nature should survive termination will survive, including Sections 7, 11, and 12.

  1. Changes to This Agreement

We may update this Agreement from time to time. If you continue to use the Creative Features after an update becomes effective, you agree to the updated Agreement.

  1. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the jurisdiction where the Company is established, without regard to conflict-of-law principles, unless applicable law requires otherwise. Disputes will be resolved in the courts (or arbitration forum) designated by the Company’s terms of service, unless applicable law requires a different venue.
